Ν. 4172/23-7-2013 "Φορολογία εισοδήματος, επείγοντα μέτρα εφαρμογής του ν. 4046/2012, του ν. 4093/2012 και του ν. 4127/2013 και άλλες διατάξεις" (ΦΕΚ 167Α), Άρθρο 66.- Ελεγχόμενες αλλοδαπές εταιρείες (ΕΑΕ).
1. Το φορολογητέο εισόδημα περιλαμβάνει το μη διανεμηθέν εισόδημα νομικού προσώπου ή νομικής οντότητας που είναι φορολογικός κάτοικος άλλης χώρας, εφό­σον συντρέχουν σωρευτικά οι ακόλουθες προϋποθέσεις:
α) ο φορολογούμενος, μόνος του ή από κοινού με τα συνδεδεμένα πρόσωπα, κατέχει, άμεσα ή έμμεσα, μετο­χές, μερίδια, δικαιώματα ψήφου ή συμμετοχής στο κε­φάλαιο σε ποσοστό άνω του πενήντα τοις εκατό (50%) ή δικαιούται να εισπράττει ποσοστό άνω του πενήντα τοις εκατό (50%) των κερδών του εν λόγω νομικού προσώπου ή νομικής οντότητας,
β) το παραπάνω νομικό πρόσωπο ή η νομική οντότητα υπόκειται σε φορολογία σε μη συνεργάσιμο κράτος ή κράτος με προνομιακό φορολογικό καθεστώς, ήτοι σε ειδικό καθεστώς που επιτρέπει ουσιωδώς χαμηλότερο επίπεδο φορολογίας από ό,τι το γενικό καθεστώς,
γ) άνω του τριάντα τοις εκατό (30%) του καθαρού εισοδήματος προ φόρων που πραγματοποιεί το νο­μικό πρόσωπο ή η νομική οντότητα εμπίπτει σε μία ή περισσότερες από τις κατηγορίες που ορίζονται στην παράγραφο 3,
δ) δεν πρόκειται για εταιρεία, της οποίας η κύρια κατηγορία μετοχών αποτελεί αντικείμενο διαπραγμά­τευσης σε οργανωμένη αγορά.
2. Η παράγραφος 1 δεν εφαρμόζεται στις περιπτώσεις που το νομικό πρόσωπο ή η νομική οντότητα είναι φο­ρολογικός κάτοικος κράτους - μέλους της Ε.Ε., εκτός εάν η εγκατάσταση ή η οικονομική δραστηριότητα του νομικού προσώπου ή της νομικής οντότητας συνιστά επίπλαστη κατάσταση που δημιουργήθηκε με ουσια­στικό σκοπό την αποφυγή του αναλογούντος φόρου.
Σε περίπτωση που το νομικό πρόσωπο ή η νομική οντότητα είναι φορολογικός κάτοικος χώρας που είναι συμβαλλόμενο μέρος της συμφωνίας για τον Ε.Ο.Χ. και υφίσταται και εφαρμόζεται συμφωνία ανταλλαγής πλη­ροφοριών, ανάλογης με την ανταλλαγή πληροφοριών, κατόπιν αιτήσεως που προβλέπεται στην Οδηγία 2011/16/ ΕΕ, η παράγραφος 1 δεν εφαρμόζεται, εκτός εάν η εγκα­τάσταση ή η οικονομική δραστηριότητα του νομικού προσώπου ή της νομικής οντότητας συνιστά επίπλαστη κατάσταση, που δημιουργήθηκε με ουσιαστικό σκοπό την αποφυγή του αναλογούντος φόρου.
3. Οι ακόλουθες κατηγορίες εισοδήματος λαμβάνονται υπ' όψη για την εφαρμογή του στοιχείου γ' της παρα­γράφου 1, εφόσον άνω του πενήντα τοις εκατό (50%) της αντίστοιχης κατηγορίας εισοδήματος του νομικού προσώπου ή της νομικής οντότητας προέρχεται από συναλλαγές με τη φορολογούμενη εταιρεία ή τα συν­δεδεμένα με αυτή πρόσωπα:
α) τόκοι ή οποιοδήποτε άλλο εισόδημα παράγεται από χρηματοοικονομικά περιουσιακά στοιχεία,
β) δικαιώματα ή οποιοδήποτε άλλο εισόδημα παρά­γεται από πνευματική ιδιοκτησία,
γ) μερίσματα και εισόδημα από τη μεταβίβαση με­τοχών,
δ) εισόδημα από κινητά περιουσιακά στοιχεία,
ε) εισόδημα από ακίνητη περιουσία, εκτός εάν το κρά­τος - μέλος του φορολογούμενου νομικού προσώπου ή νομικής οντότητας δεν θα είχε δικαίωμα να φορολογή­σει το εισόδημα βάσει συμφωνίας που έχει συναφθεί με τρίτη χώρα,
στ) εισόδημα από ασφαλιστικές, τραπεζικές και άλλες χρηματοοικονομικές δραστηριότητες.
4. Οι κατηγορίες εισοδήματος που αναφέρονται στην προηγούμενη παράγραφο υπολογίζονται στη βάση του
φορολογικού έτους και με το φορολογικό συντελεστή που ισχύει για τα κέρδη από επιχειρηματική δραστηρι­ότητα των φυσικών προσώπων σύμφωνα με το Δεύτερο Μέρος του παρόντα Κώδικα ή με το φορολογικό συ­ντελεστή που ισχύει για τα κέρδη από επιχειρηματική δραστηριότητα των νομικών προσώπων ή νομικών οντο­τήτων σύμφωνα με το Τρίτο Μέρος, κατά περίπτωση.

Like other major industrialised countries, the UK has Controlled Foreign Company (CFC) rules to stop companies from reducing UK tax by diverting profits to tax shelters and preferential regimes.
A foreign company is a CFC if it's:

  • resident outside the UK
  • controlled by UK persons
  • subject to a lower level of tax
A company is subject to a lower level of tax if the 'local' tax paid by the foreign company in its territory of residence is less than 75 per cent of the corresponding UK tax on its profits.

Definitions: Controlled Foreign Company
Where in any accounting period a company is a 'controlled foreign company' the provisions of Chapter IV apply in relation to that accounting period. A company is a 'controlled foreign company' if it is -

  • resident outside the United Kingdom,
  • controlled by persons resident in the United Kingdom, and
  • subject to a lower level of taxation in its territory of residence.
There is no definition of 'company' in Chapter IV, so the definition at CTA2010/S1121 applies. A company is any body corporate or unincorporated association, but not a partnership. Where there is any doubt whether a particular entity is a company it will be necessary to obtain its constituting document and consider the relevant foreign legal provisions. The 'accounting periods' of a controlled foreign company are determined broadly on normal Corporation Tax lines but with some modifications. Full details are given at INTM202040.
There are a number of references to 'resident' and ‘residence’ in (a), (b) and (c) above: 'resident outside the United Kingdom', 'resident in the United Kingdom' and 'territory of residence'. Guidance on the differing meanings of these terms (and of other references to resident and residence in Chapter IV) is given at INTM202050.
The definition of 'control' for Chapter IV purposes is at ICTA88/S755D and is set out atINTM202020.
The test of whether a company is 'subject to a lower level of taxation' requires a comparison to be made between the taxes which it has paid on its profits in its 'territory of residence' and the Corporation Tax which it would have paid on its income if it had been resident in the United Kingdom. Guidance and examples of computations for the lower level of taxation test are given at INTM202030.

A corporate entity that is registered and conducts business in a different jurisdiction or country than the residency of the controlling owners. Control of the foreign company is defined, in the U.S., according to the percentage of shares owned by U.S. citizens.
Controlled foreign corporation (CFC) laws work alongside tax treaties to dictate how taxpayers declare their foreign earnings. A CFC is advantageous for companies when the cost of setting up a business, foreign branches or partnerships in a foreign country is lower even after the tax implications, or when the global exposure could help the business grow.
The CFC structure was created to help prevent tax evasion, which was done by setting up offshore companies in jurisdictions with little or no tax. Each country has its own CFC laws, but most are similar in that they tend to target individuals over multinational corporations when it comes to how they are taxed. For this reason, having a company qualify as independent will exempt it from CFC regulations.
Countries differ in how they define the independence of a company. The determination can be based on how many individuals have a controlling interest in the company, as well as the percentage they control. For example, minimums can range from fewer than 10 to over 100 people, or 50% of voting shares, or 10% of the total outstanding shares.
